Please read these Terms and Conditions ("Terms") carefully before using the ABC Play platform operated by ABC Global Ventures ("Company", "we", "us", or "our"). Your access to and use of the service is conditioned upon your acceptance of and compliance with these Terms.

1. Acceptance of Terms

By accessing or using ABC Play, you agree to be bound by these Terms. If you disagree with any part of the terms, you do not have permission to access the service. These Terms apply to all visitors, users, and others who access or use the service.

2. Description of Service

ABC Play is a cloud-based digital signage and in-store media platform that enables businesses to manage, schedule, and distribute content to screens across one or more physical locations. The platform includes content management tools, playlist scheduling, channel management, and advertising integration features.

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the service.

3. User Accounts

3.1 Account Creation

To access certain features of the platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding the password used to access your account and for any activities or actions under your account. We encourage you to use a strong, unique password. You agree to notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.

3.3 Account Termination

We reserve the right to terminate or suspend accounts at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason.

4. Intellectual Property

4.1 Our Content

The ABC Play platform and its original content, features, and functionality are and will remain the exclusive property of ABC Global Ventures and its licensors. The service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without our prior written consent.

4.2 Your Content

You retain all rights to any content you upload or create using our platform ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free licence to use, store, display, and distribute such content solely for the purpose of operating and providing the service.

You represent and warrant that: (i) you own or have the necessary licences, rights, consents, and permissions to use and authorise us to use your User Content; and (ii) your User Content does not violate any applicable law or the rights of any third party.

5. Acceptable Use Policy

You agree not to use the service to:

• Upload or transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Violate any applicable local, national, or international law or regulation
• Infringe the intellectual property rights of any third party
• Transmit unsolicited commercial communications
• Attempt to gain unauthorised access to any part of the platform or its systems
• Interfere with or disrupt the integrity or performance of the service
• Use the service to display or distribute adult content, content promoting illegal activities, or content that would violate Google AdSense policies

6. Payment Terms

Certain features of the platform require payment of fees. All fees are stated in the applicable subscription plan and are payable in advance. Fees are non-refundable except as required by law or as explicitly stated in our refund policy.

We reserve the right to modify our pricing at any time. Price changes will be communicated with a minimum of 30 days' notice before taking effect for existing subscribers.

7. Third-Party Services

Our service may contain links to, or integrations with, third-party websites or services that are not owned or controlled by us, including Google AdSense and Google IMA advertising services. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services. We strongly advise you to read the terms and conditions and privacy policies of any third-party services you use.

8. Disclaimer of Warranties

The service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or free of viruses or other harmful components. We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall ABC Global Ventures, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, goodwill, or other intangible losses, resulting from your use of or inability to use the service.

Our total liability to you for any claim arising out of or relating to these Terms or the service shall not exceed the greater of (i) the amount you paid to us in the 12 months prior to the event giving rise to the liability, or (ii) £100.

10. Indemnification

You agree to defend, indemnify, and hold harmless ABC Global Ventures and its licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (i) your use of the service; (ii) your violation of these Terms; (iii) your violation of any third-party rights, including intellectual property rights; or (iv) any claim that your User Content caused damage to a third party.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where ABC Global Ventures is registered, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of significant changes by updating the date at the top of this page. Your continued use of the service after any changes constitutes your acceptance of the new Terms.
